The Ardonagh Group announces the release of a Shareholder Written Resolution relating to an acquisition of assets with a Fair Market Value (as defined in the SHA) exceeding £15 million, the issue of Equity Interests (as defined in the SHA) as the consideration for such acquisition, the subsequent conversion of such Equity Interests into New Shares (as defined in the SHA) and the resulting allotment, issuance and creation of the New Shares.
